These Terms and Conditions, together with any documents expressly incorporated by reference, including without limitation the SATO Privacy Policy, Risk Disclosures, Creator Standards, Community Standards, Intellectual Property Policy, Copyright Policy, Registry Rules, and any launch-specific disclosures, notices, or supplemental terms published by SATO from time to time, constitute a legally binding agreement between you and SATO, together with its parents, subsidiaries, affiliates, officers, directors, employees, contractors, successors, assigns, agents, licensors, and service providers ("SATO," "we," "our," or "us"), governing your access to and use of the SATO website, mobile interfaces, creator dashboards, application programming interfaces, registry pages, launch pages, comments, metadata displays, smart contract interactions, wallet-linking flows, verification flows, and all related software, services, products, content, tools, and features (collectively, the "Platform").

By accessing, browsing, registering for, connecting to, submitting content to, linking a wallet to, minting through, launching through, transacting through, or otherwise using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you may not access or use the Platform.

SATO is a verification-first Solana launch protocol. SATO is designed to enable verified creators to mint a canonical digital collectible, bind that collectible to an officially issued companion token, and publish a verifiable origin record that maps creator identity, collectible metadata, and token contract provenance into a single trusted launch object. SATO is not designed or intended to function as a marketplace for fractional ownership of real-world assets, and no token holder obtains any legal ownership, redemption right, payout entitlement, sale-proceeds interest, liquidation right, or other beneficial interest in any physical asset merely because a token or collectible is created, displayed, verified, launched, or recorded through the Platform. SATO's core function is to provide verification-first launch infrastructure, origin attestation, metadata integrity, and public trust signals so that users and third parties can assess whether a given creator-linked digital asset originated through the official SATO registry.

1. Definitions

For purposes of these Terms and Conditions, "Creator" means any user who, after satisfying SATO's onboarding, verification, and approval requirements, is permitted to mint, publish, submit, display, or launch a collectible, token, or related content through the Platform. "Collectible" means a canonical on-chain digital collectible, including without limitation a non-fungible asset, minted, displayed, referenced, linked, or recorded through the Platform. "Companion Token" means any fungible token, digital token, or similar blockchain-based asset created, launched, or associated with a Collectible or Creator through or in connection with the Platform. "Registry" means the SATO registry and all associated records, whether on-chain, off-chain, or both, that associate identity-verified creators, approved wallets, collectibles, token mint addresses, metadata references, and other launch-related information. "Wallet" means any supported blockchain wallet, including without limitation Phantom or any other wallet that SATO may permit in its sole discretion. "Content" means all text, images, metadata, media, descriptions, comments, profile materials, social links, brand elements, audio, video, graphics, code, trademarks, and any other content or materials submitted to, displayed on, or otherwise made available through the Platform.

2. Eligibility and Access Restrictions

You represent and warrant that you are at least eighteen (18) years old or the age of legal majority in your jurisdiction, whichever is greater; that you have the full right, power, and authority to enter into these Terms and Conditions; that you are not barred from using the Platform under any applicable law; and that your use of the Platform will comply with all applicable laws, rules, regulations, court orders, sanctions programs, and restrictions.

You further represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of any person or entity located in or subject to sanctions, embargoes, blocked-person restrictions, or other legal prohibitions that would make your use of the Platform unlawful or expose SATO to legal risk. SATO may restrict, deny, suspend, terminate, or limit access to the Platform or any feature of the Platform at any time, with or without notice, if SATO determines or suspects that your access or use presents legal, regulatory, fraud, market-integrity, reputational, or operational risk.

3. Verification-First Structure and Identity Requirements

SATO operates on a verification-first basis. No user may connect a Wallet as an official Creator wallet, publish a launch, mint through the Creator workflow, or otherwise use creator-specific functions unless and until the user has completed SATO's required onboarding and identity-verification process and has been approved by SATO for such use. The Platform is intentionally structured so that wallet connection is not the starting point of creator participation. Instead, identity verification is the threshold requirement, and wallet-linking becomes available only after the user has been approved under SATO's verification flow.

Where SATO uses Stripe Identity or any successor or substitute verification provider, you authorize SATO and such provider to collect, process, store, analyze, verify, and transmit identification data, records, liveness checks, device information, fraud signals, and related information necessary to verify your identity, assess your eligibility, and determine whether you may connect a Wallet, become a Creator, or continue using creator or launch functions on the Platform. SATO may deny, delay, suspend, revoke, or condition access based on incomplete submissions, risk signals, inconsistencies, suspected fraud, legal restrictions, verification failures, or any other factor SATO deems relevant in its sole discretion.

4. Wallet Linking, Wallet Ownership, and Challenge Messages

After successful identity verification and approval, SATO may permit a user to connect one or more Wallets to the user's verified account. To prove ownership and control of a Wallet, SATO may require the user to sign one or more challenge messages. A challenge message is a unique, temporary message generated by SATO or its service providers and presented for signature by the user's Wallet. By signing a challenge message, you confirm that you control the Wallet being linked and that you authorize SATO to associate that Wallet with your verified account.

5. Nature of the Platform

The Platform is a software, verification, registry, and launch-infrastructure service. Unless expressly stated otherwise by SATO in a separate signed written agreement, SATO is not acting as a broker, dealer, securities exchange, alternative trading system, commodity intermediary, investment adviser, auctioneer, custodian, escrow provider, fiduciary, or trustee. SATO does not provide legal, financial, tax, accounting, investment, or regulatory advice, and nothing on the Platform should be construed as such advice.

6. Canonical Digital Collectibles and Companion Tokens

A Collectible minted, recorded, or displayed through SATO is a distinct digital object. A Companion Token launched or associated with the Platform is a separate blockchain-based asset. Neither the Collectible nor the Companion Token shall, solely by virtue of its existence or association with the Platform, constitute legal ownership of, title to, beneficial interest in, security interest in, redemption right against, claim to proceeds from, or entitlement to possession of any physical card, collectible, memorabilia item, or other real-world asset.

7. No Securities Offering; No Expectation of Profit Owed by SATO

SATO does not offer or sell securities through the Platform, and SATO does not represent that any Collectible or Companion Token constitutes a security, commodity interest, derivative, investment contract, or other regulated product. SATO does not promise returns, profits, appreciation, distributions, dividends, sale proceeds, or any other economic benefit.

8. User Accounts and Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, Wallet access credentials, device security, browser environment, private keys, seed phrases, passkeys, and any other credentials or mechanisms used to access the Platform or any blockchain Wallet. SATO is not liable for unauthorized access resulting from phishing, malware, credential theft, Wallet compromise, browser compromise, device compromise, SIM swap, password reuse, private-key exposure, or any similar event.

9. Creator Representations and Warranties

If you use the Platform as a Creator, you represent, warrant, and covenant that all information you provide to SATO is true, accurate, current, complete, and not misleading. You further represent, warrant, and covenant that you own or lawfully control all rights necessary to upload, display, describe, license, publish, associate, and otherwise use any Content you submit through the Platform.

10. Content Ownership and Limited License to SATO

As between you and SATO, you retain such rights as you may lawfully hold in Content you submit to the Platform, subject to the licenses granted herein. By uploading, submitting, displaying, or otherwise making Content available through the Platform, you grant SATO a worldwide, non-exclusive, sublicensable, transferable, royalty-free license to host, copy, cache, store, reproduce, adapt for technical formatting, analyze, index, display, publish, distribute, archive, moderate, promote, and otherwise use such Content as necessary or desirable to operate, improve, secure, enforce, market, and maintain the Platform and these Terms and Conditions.

11. Copyright Policy; DMCA Compliance; SATO as Intermediary

SATO respects the intellectual property rights of authors, artists, creators, rights holders, and other lawful owners of protected content, and SATO expects all users to do the same. SATO is not a court, arbitrator, or intellectual property tribunal. SATO does not adjudicate the ultimate merits of competing copyright claims between private parties.

12-16. Copyright Notices, Counter-Notification, and Repeat Infringer Policy

If you believe that any Content made available through or in connection with the Platform infringes your copyright, you may submit a written notice of claimed infringement to SATO's designated copyright agent. SATO maintains and reasonably implements a policy for suspending, restricting, or terminating users and Creators who are repeat infringers.

17. Prohibited Conduct

You agree that you will not, directly or indirectly, use the Platform to violate any law, regulation, or legal duty; commit fraud, deception, impersonation, or identity theft; falsify or misuse verification credentials; misrepresent ownership, rights, or authorization; submit infringing or unlawful Content; engage in wash trading, spoofing, manipulation, artificial volume, fake engagement, undisclosed paid promotion, or other deceptive market practices; distribute malware, phishing links, malicious code, or harmful metadata; scrape or exfiltrate Platform data beyond permitted use; interfere with Platform operations; or attempt to bypass moderation, verification, fee, or security controls.

18. Launch Process and Platform Discretion

SATO may define, alter, impose, and enforce the launch workflow in its sole discretion, including identity-verification requirements, Wallet-linking requirements, metadata format standards, moderation review, launch timing, token parameter constraints, publication controls, Registry publication timing, fee structures, and post-launch support policies.

19. Registry Nature and Limitations

The Registry is an attestation and reference system. It is not a title registry, property office, court record, appraisal service, or legal determination of authenticity, value, non-infringement, legal compliance, or ownership. A Registry record means only that SATO has elected to record or display certain information in connection with the Platform.

20. Third-Party Platforms and External Surfaces

The Platform may reference, link to, interoperate with, or otherwise interact with third-party services, including without limitation Wallet providers, token explorers, metadata hosts, decentralized storage systems, marketplaces, DEXs, analytics surfaces, social platforms, and token terminals such as Axiom or Raydium. SATO does not own or control those services.

21. Fees and Payment Terms

SATO may charge fees for identity verification, Creator onboarding, launch preparation, metadata review, moderation review, Registry publication, premium tools, analytics features, promotional surfaces, API access, and any other feature or service SATO may offer. All fees are payable in the form, amount, and timing specified by SATO. Unless expressly stated otherwise, fees are non-refundable, non-cancelable, and fully earned when due.

22. Assumption of Risk

You acknowledge and assume all risks arising from or related to blockchain technology, digital assets, smart contracts, metadata hosting, public Wallets, private-key compromise, phishing, malicious extensions, coding bugs, chain forks, validator issues, network congestion, MEV, front-running, bot activity, volatility, illiquidity, concentration, market manipulation, counterfeit assets, impersonation, regulatory uncertainty, tax uncertainty, IP disputes, Content disputes, device compromise, and the possibility of complete loss.

23. Disclaimers of Warranties

THE PLATFORM, THE REGISTRY, ALL CONTENT, ALL COLLECTIBLES, ALL COMPANION TOKENS, ALL METADATA, ALL LAUNCH PAGES, ALL CREATOR PAGES, ALL COMMENTS, ALL LINKS, ALL SOFTWARE, ALL APIS, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. SATO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SATO OR ANY OF ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF OPPORTUNITY, LOSS OF DIGITAL ASSETS, OR BUSINESS INTERRUPTION. SATO'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

25. Indemnification

You agree to defend, indemnify, and hold harmless SATO and its affiliates from and against any and all claims, demands, actions, proceedings, investigations, liabilities, judgments, penalties, settlements, damages, losses, costs, and expenses arising out of or relating to your access to or use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

26-27. Regulatory Cooperation and Suspension/Termination

SATO may monitor, review, log, preserve, and disclose account information and related data as necessary or appropriate to comply with law. SATO may suspend, disable, delist, restrict, or terminate any account or Platform access immediately and without prior notice where SATO determines or suspects violations.

28. Arbitration, Class-Action Waiver, and Jury-Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SATO AGREE THAT ANY DISPUTE SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING INDIVIDUAL ARBITRATION. YOU AND SATO EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION.

29-34. Governing Law, Taxes, Privacy, Modifications, and Contact

These Terms shall be governed by applicable state law without regard to conflict-of-law principles. You are solely responsible for determining and paying any taxes arising from your use of the Platform. Your use is also governed by SATO's Privacy Policy. SATO may modify these Terms at any time. By clicking "I Agree" or "Continue," you expressly acknowledge and agree that: (a) SATO is a verification-first software and Registry platform and not a broker, exchange, custodian, fiduciary, or investment adviser; (b) no Collectible or Companion Token grants you ownership of, entitlement to, or redemption rights in any physical card or other real-world asset; (c) SATO does not promise profits, appreciation, liquidity, or distributions; (d) any decision to acquire, hold, launch, promote, use, or trade any digital asset associated with the Platform is made solely by you at your own risk; (e) any Content you upload or publish through SATO must be Content you own or are legally authorized to use; (f) SATO may remove or disable access to allegedly infringing Content without prior notice; (g) SATO may suspend or terminate repeat infringers; and (h) you agree to resolve disputes with SATO through binding individual arbitration and waive any right to participate in a class action to the maximum extent permitted by law.
